o VNU Agrees to $9 Billion Bid by Private-Equity Firms

Amsterdam - VNU, currently the largest market-research firm in the world and publisher of Billboard and The Hollywood Reporter, announced that it has agreed to be acquired by a group of private-equity firms for $9 billion in cash. The Dutch firm accepted the offer after the group -- which includes Alpinvest, Blackstone, Carlyle, Hellman & Friedman, Kohlberg Kravis Robertsand Thomas H Lee -- increased its bid from about $33.40 per share to $34.30 per share. Fidelity International, a Dutch business-information group and one of VNU's largest shareholders, said it was unlikely to support the offer, however. The bid requires support from 95% of VNU's shareholders for approval.

o XM Satellite Radio to Lose Ad-Free Status After Ruling

Washington - XM Satellite Radio, a satellite radio provider that has used its commercial-free programming as a marketing tool since its inception, could soon be forced to introduce advertising on a handful of channels, according to Billboard Radio Monitor. An arbitration panel has ruled that Clear Channel, an early investor in XM, has the right to place ads on the four music channels that it controls. The remainder of XM's 160 channels would remain ad-free, and the company has vowed to launch four new commercial-free stations in an effort to offset the change. Clear Channel invested in XM in 1998, six years before XM decided to make its music channels commercial-free. The news sent shares of XM down by nearly 4% in Wednesday's mid-afternoon trading on the Nasdaq.

o Comedy Central's "Daily Show," "Colbert Report" Added to iTunes

New York - MTV Networks' Comedy Central announced on Wednesday that it will make full-episode downloads of its "The Daily Show" and "The Colbert Report" programs available the day after they are broadcast on Apple's iTunes Store for $1.99. The network will also offer a "Multi-Pass," consisting of a month's worth of 16 new episodes, for $9.99. Comedy Central also offers its "South Park," "Drawn Together" and "Comedy Central Stand-Up" programs on iTunes.

o Toshiba Introduces First Laptop with HD DVD Drive

Hanover, Germany - Japanese consumer electronics firm Toshiba on Wednesday introduced the first laptop computer to feature its HD DVD next-generation DVD technology and a high-definition display, Reuters reported from the CeBIT electronics show in Germany. Part of the company's Qosimo computer line, the device is slated to go on sale in all territories within a few weeks for between $2,980 and $3,580. Toshiba plans to release the first standalone HD DVD player later this month with a price tag of about $500. Meanwhile, Sony plans to equip its PlayStation 3 video game consoles with its rival next-generation Blu-ray Disc DVD players. The first standalone Blu-ray players will also be released this month; Samsung's BD-P1000 is expected to sell for $1,000.

o MTV "Real World" Producers Bunim-Murray Launch Digital Division

Los Angeles - TV production company Bunim-Murray, which has created series including "The Real World" and "The Simple Life," on Wednesday announced the formation of M Theory Entertainment, a new subsidiary that will develop new content and adapt existing properties for the Internet and mobile devices. The company has already produced 36 mobisodes based on "The Simple Life" for Verizon, and has signed agreements to produce original content for Amp'd Mobile and Proteus. "Entertainment has to be able to find people wherever they are, and in forms that can be easily customized and digested," said Bunim-Murray CEO Joey Carson. Other M Theory digital projects include "T.J.'s Tips and Tricks," featuring BMX rider T.J. Lavin; "The Real Mean Girls," featuring the hosts from its "Real World/Road Rules Challenge"; and an online talent competition called Hams.tv.

o Micron to Acquire Flash Memory Firm Lexar Media for $680 Million

Fremont, Calif. - Looking to broaden its consumer products offerings, Micron Technology, an Idaho-based maker of semiconductor components and memory modules, said on Wednesday that it will acquire Lexar Media, a maker of flash memory products, for about $680 million in stock. Under the deal, each share of Lexar will be exchanged for 0.56 of a share of Micron. Eric Stang, Lexar's chairman, CEO and president, said that deal will help his company "better align" its cost structure with business conditions, as well as increase its overall size in an effort to more effectively compete in the market. Fremont, Calif.-based Lexar has developed its own MP3 player, and provides memory cards for MP3 players, cell phones and digital cameras made by Samsung and Sony.

o Obopay Raises $10 Million to Launch Mobile Payment Service

Palo Alto, Calif. - Obopay, a start-up developing a mobile payment service, said on Wednesday that it has raised $10 million in its first round of funding from investors including Redpoint Ventures, ONSET Ventures and Richmond Management. The company said that its service will be the first in the U.S. to allow consumers to instantly get, send and spend money directly from their mobile phones. Obopay did not specify a launch date for the service.

o Coremetrics Raises $31 Million in Fourth Round

San Mateo, Calif. - Coremetrics, a provider of hosted Web analytics and marketing applications, said on Wednesday that it has landed $31 million in its fourth round of funding. Participants included new investor FTVentures, as well as previous investors Accel Partners and Highland Capital Partners. Coremetrics said that it will use the proceeds to help it expand its geographic presence, both in the U.S. and abroad, as well expand its offerings into new areas of digital marketing. The company said that it added more than 100 new clients across the retail, financial services and travel industries in 2005. Current clients include CDW, Circuit City, Fuji Film and Office Max.

o Sharpcast Secures $13.5 Million in Second Round

Palo Alto, Calif. - Sharpcast, a company developing synchronization services for digital consumer media and information, said on Wednesday that it has secured $13.5 million in its second round of funding, led by Sigma Partners. Previous investors Draper Fisher Jurvetson and Selby Venture Partners also participated. Sharpcast is developing services that will allow consumer to use their PCs and mobile phones together to keep their media and information in sync, backed up on the web and accessible from remote locations. The company’s first service, Sharpcast photos, will launch in beta later this spring.

o Sony to Ship Recordable Blu-ray Discs Next Month

London - Sony Europe announced that its Blu-ray Disc media will ship in Europe later this month. Sony's single-layer BD-RE (Blu-ray Disc Rewritable) media will be available from mid-March, while its single-layer write-once BD-R (Blu-ray Disc Recordable) media will be available from April. Both discs boast a storage capacity of 25GB, more than five times that of a normal DVD and enough for approximately 2 hours and 15 minutes of video at a bit rate of 24Mbps. The company said it planned to launch dual layer discs sometime later this year.

Graphics chipmaker Nvidia announced on Wednesday that it has partnered with Intel to combine the capabilities of its Nvidia GoForce handheld graphics processing units with Intel's new "Monahans" processor family.
