o AOL Buys AT&T Stake in Time Warner Entertainment; Cable Unit to Spin-Off

New York -- Confirming earlier reports, AOL Time Warner announced on
Wednesday that it will purchase AT&T's stake in Time Warner Entertainment
for about $2.1 billion in cash and $1.5 billion in AOL stock. The deal
will dissolve AOL's partnership with AT&T, giving AOL full control over
HBO, Warner Bros. and other properties. It will also create a new publicly
traded cable TV unit, Time Warner Cable; an IPO of the cable unit is
expected to occur some time next year. As part of the deal, AT&T Comcast
will offer AOL high-speed Internet service to its 10 million cable
subscribers following the merger of AT&T with Comcast, another cable TV
operator, for a period of three years.

o RIAA Asks Court to Compel Verizon to Turn Over Subscriber Data

Washington -- The Recording Industry Association of America (RIAA) has
asked a federal court in Washington to compel Internet service provider
Verizon to turn over the identity of a subscriber allegedly trading
hundreds of songs on file-sharing services illegally, CNET News.com
reported. The recording industry trade group has recently shifted some of
its massive efforts to shut down unauthorized file-sharing services to the
users themselves. Verizon did not comply with an earlier subpoena from the
RIAA asking the user's identity, due to what it saw as privacy and legal
liability issues. "It created a very difficult policy issue for us,"
Verizon vice president Sara Deutsch told News.com. "We understand that
RIAA has a problem and needs this information. At the same time, we have
an equally legitimate concern that they comply with the proper legal
process." The RIAA hopes the court will rule that Verizon be deemed a
"service provider" under a clause of the Digital Millennium Copyright Act
that states such service providers must turn over subscriber information
to copyright owners when asked.

o Digital Rights Management Firm ShieldIP Raises $4.2 Million

New York -- ShieldIP, a developer of anti-piracy and digital rights
management technologies, announced on Wednesday that it has raised $4.2
million in its first round of venture capital financing, led by Charter
Ventures. New York-based ShieldIP says its digital rights management
technology can protect computer programs, written text, music, images and
video without the use of watermarks, hardware dongles, encryption or
license servers. Instead, the company's solution integrates directly with
a device's operating system, not requiring vendors to make any changes to
their content.

industries, including nearly 200 companies and government agencies. In the

o Liquid Audio Files Suit Against Shareholders Over Takeover Bids

Redwood City, Calif. -- Liquid Audio, a provider of digital music
distribution services, announced on Wednesday that it has filed suit
against two groups of its shareholders -- MM Companies and Steel Partners
II -- alleging the groups are violating federal securities laws in
connection with their campaigns to take control of Liquid Audio. The
company, which recently announced a merger agreement with Alliance
Entertainment, is seeking compensatory and punitive damages as a result of
the alleged violations. "Liquid Audio's board of directors remains
committed to our combination with Alliance Entertainment," said Liquid
Audio CEO Gerry Kearby. "We simply cannot allow MM Companies and Steel
Partners to continue to spread misinformation about the transaction. We
believe that they should be required to play by the rules."

o Video Game Developer 3DO Announces One-for-Eight Reverse Stock Split

Redwood City, Calif. -- Video game developer 3DO announced that its
stockholders approved a one-for-eight reverse split of its common stock,
which will be effective at the close of business on Thursday. The
company's shares have traded below the Nasdaq's $1 minimum requirement for
continued listing in large part since February. Redwood City-based 3DO
said it anticipates the reverse stock split to raise its share price such
that it will be able to maintain continued listing on the Nasdaq, but
makes no assurance to this fact and may still face delisting from the
exchange.
