o Napster Creditors Seek New CEO, Board to Avoid Ch. 7 Liquidation

Wilmington, Del. -- The judge handling Napster's Chapter 11 bankruptcy
proceeding on Monday gave a group of the company's creditors until Friday
to seek out a new CEO and board of directors, necessary to facilitate a
sale of its assets in Ch. 11, before placing the company into Chapter 7
liquidation, Dow Jones Newswires reported. A sale of assets in Ch. 11
traditionally yields more return for creditors than when a company has
entered Ch. 7. "I think it may be worth some effort to salvage this case
before a possible conversion to Chapter 7. But it can only be done with
appropriate corporate governance," said Judge Peter J. Walsh, of the U.S.
Bankruptcy Court in Wilmington, Delaware. Former CEO Konrad Hilbers quit
the company last week after the judge blocked the sale of Napster's assets
to his previous employer, Bertelsmann. An attorney for Napster's creditors
told Dow Jones Newswires they have received "favorable expressions of
interest for an asset sale" from "significant industry players." Scott D.
Cousins, an attorney with Greenberg Traurig, also said the company's
creditors are talking with several record labels and music publishers to
obtain licensing rights that would increase a sale price. Both Bertelsmann
and the office of the U.S. Trustee have said they favor converting the
company to Ch. 7.

o IBM, Philips Partner to Develop Secure Broadband Content Delivery

Amsterdam -- IBM announced on Tuesday that it has partnered with
Netherlands-based consumer electronics firm Philips on a joint research
project focused on the secure delivery of broadband content like music,
video and games to and within the home. "We foresee the development of
home networks of interlinked, content sharing devices that will allow
consumers to benefit optimally from the new opportunities offered by
digital electronics. The seamless exchange of content between devices is a
crucial enabler, as is research on digital rights management solutions,"
said Fred Boekhorst, senior vice president of Philips Research. The
companies are aiming to offer a finished solution by December 2003.
